This Agreement for use of the Service is between Scryer Labs LLC ("Scryer Labs," "we," "us," or "our"), and the party ("Client," "User," "you," or "your") indicated during the account registration process. This Agreement is effective upon your acceptance of it in the course of the Registration (the "Effective Date").

1. Definitions

"Strategy" means a pre-built TradingView strategy script offered by Scryer Labs through the Service, consisting of defined entry/exit logic, risk parameters, and configuration settings. Each Strategy delivers identical strategy logic to all subscribers.

"Service" means the Scryer Labs website, customer portal, application, trading strategy marketplace, and all related services, together with any associated software applications, database structures, interfaces, and tools.

"Third-Party Automation Provider" means any third-party service (such as, but not limited to, TradersPost) that you independently select, subscribe to, configure, and control for the purpose of automating trade execution in your own brokerage account.

"Documentation" means all documentation supplied or made available to you by Scryer Labs for use with or in support of the Service.

"Loss" means all losses, liabilities, damages, awards, settlements, claims, suits, proceedings, costs and expenses (including reasonable legal fees and disbursements).

"User Data" means all data provided to Scryer Labs by or on behalf of you as such data is maintained by Scryer Labs from time to time.

2. Nature of the Service — Critical Disclosures

2.1 Strategy Marketplace

Scryer Labs is a strategy marketplace. Scryer Labs publishes hand-built TradingView strategies and delivers access to subscribers via TradingView's invite-only script mechanism. The Service is informational in nature and is designed to provide strategies to subscribers on a uniform basis.

2.2 What Scryer Labs Is NOT

Scryer Labs does not provide personalised investment advice. The Strategies published by Scryer Labs are general in nature, are not tailored to your individual financial situation, investment objectives, risk tolerance, or needs, and do not constitute a recommendation to buy, sell, or hold any security or other financial instrument.

Scryer Labs does not manage client accounts. Scryer Labs does not have custody of, access to, or control over your funds, brokerage accounts, or trading accounts. Scryer Labs does not place, execute, modify, or cancel trades on your behalf.

2.3 Uniform Strategy Delivery

All subscribers to a given Strategy receive identical strategy logic. Strategy logic is not modified, adjusted, or customised based on any individual subscriber's account balance, financial situation, risk preferences, or any other client-specific information.

2.4 No Fiduciary Relationship

Nothing in this Agreement or in your use of the Service creates a fiduciary, advisory, agency, partnership, joint venture, or employment relationship between you and Scryer Labs.

3. General Disclaimers Regarding Trading

Neither the Service nor any content included in the Service is intended to be the sole or primary means of making trading or investment decisions.

3.3 Hypothetical and Backtested Performance

Scryer Labs may display hypothetical backtested performance results for Strategies. Backtested results are hypothetical — they were not generated by actual trading with real capital and are provided for informational purposes only. Past performance is not indicative of future results.

4. Client Responsibilities and Autonomy

4.1 Full Client Control and Responsibility

You are solely and exclusively responsible for all trading and investment decisions you make. You bear full responsibility for:

• Deciding whether to act on, ignore, or modify any strategy signal generated by a Strategy
• Determining your own position sizes, risk levels, and capital allocation
• Selecting which Strategy(s) to subscribe to
• Managing your own brokerage and trading accounts
• Monitoring your own open positions and account status
• Complying with all applicable laws, regulations, and brokerage requirements
• Evaluating whether any trading activity is appropriate for your individual financial situation

4.2 Third-Party Automation

If you choose to use a Third-Party Automation Provider to automate the execution of alerts from a Strategy, you acknowledge that your automation setup is your sole responsibility. Scryer Labs does not select, provide, operate, manage, or control your automation provider.

4.3 Suitability and Independent Evaluation

Before subscribing, you should independently evaluate whether the Service is suitable for your financial situation, investment objectives, and risk tolerance. Scryer Labs strongly recommends that you consult with a licensed and qualified financial adviser before making any trading or investment decisions.

You represent and warrant that you have sufficient knowledge and experience in financial matters, understand the substantial risk of loss, are financially able to bear such risk, and are at least 18 years of age.

5. Account and Registration

When registering, you will be asked to create an account and provide specific information including a valid email address. You shall maintain the confidentiality of your account credentials. You may not share your login credentials or account access with any other party.

You agree not to reproduce, copy, duplicate, sell, resell, or exploit any portion of the Service. Each individual must have their own account and subscription. You agree not to forward, disseminate, redistribute, or resell Strategy content or strategy logic.

5.1 Your TradingView Account

Strategies are delivered to the TradingView username recorded on your Scryer Labs profile, so you will need an active TradingView account in order to receive and run them. You are responsible for supplying a TradingView username that is correct and that belongs to you; we cannot deliver a Strategy to an account we cannot identify.

Your TradingView username is locked once set. If you need to change it, contact support and we will migrate any active subscriptions to the new handle.

5.2 Prohibited Conduct

In addition to the restrictions set out elsewhere in this Agreement, you shall not:

• Access the Service by automated means, or scrape, crawl, or harvest the Strategy catalogue, Strategy descriptions, or performance data
• Probe, circumvent, or interfere with any security or access control of the Service, or attempt to reach an account or a Strategy you have not subscribed to
• Upload or transmit malicious code, or otherwise interfere with the operation of the Service
• Impersonate any person, or misrepresent your relationship with Scryer Labs
• Abuse, threaten, or harass Scryer Labs staff or other users

Scryer Labs may suspend or terminate your access immediately and without notice for any of the above, as a termination for cause.

6. Payment and Cancellation

6.1 Pricing and Payment

Scryer Labs may offer access to Strategies at prices described on the website at the time of your subscription. Subscriptions are sold on a monthly or annual basis at the prices shown in the catalogue, and renew automatically on that cycle. All fees are exclusive of applicable taxes unless otherwise stated. You authorise Scryer Labs (or its third-party payment processor) to charge automatically using your selected payment method on a recurring basis.

Any tax is calculated from the billing location recorded on your account, and you are responsible for that location being accurate and for keeping it up to date. If a tax authority later determines that tax was due on a payment and was not collected, whether because the location on your account was wrong or because a jurisdiction changed its rules, we may collect that amount from you, including in respect of a payment already made.

Prices may change from time to time. A change applies to new subscriptions: for as long as your subscription remains active and uninterrupted, you keep the price you subscribed at. Should we ever need to change the price of an active subscription, we will give you at least 30 days' notice before the renewal that the new price would apply to, so that you can cancel beforehand.

6.2 Cancellation by Client

You may cancel your subscription at any time from My Subscriptions in the customer portal. Upon cancellation, access to the subscribed Strategy will be revoked at the end of the current billing period: monthly plans stop renewing at the end of the current month, and annual plans run to the end of the paid year and do not renew. We do not offer refunds for partial months or partial years.

You are solely responsible for managing any open positions in your brokerage account and for disconnecting or reconfiguring any Third-Party Automation Provider.

6.3 Termination by Scryer Labs

Scryer Labs reserves the right to suspend or terminate your access to the Service at any time, with or without cause, upon notice. In the event of termination without cause, Scryer Labs will provide a pro-rata refund of any prepaid subscription fees for the unused portion.

6.4 Reversed and Disputed Payments

If a payment is reversed, charged back, or disputed with your bank or card issuer, Scryer Labs may suspend or terminate your subscription immediately and without notice, and revoke access to every Strategy that payment granted. A termination on those grounds is a termination for cause, and the pro-rata refund described above does not apply.

Access to a Strategy is granted through TradingView as soon as a subscription starts and cannot be withdrawn retrospectively, so a payment dispute is treated as a request to end the subscription. If you believe a charge is wrong, contact us at help@scryerlabs.com first; we would far rather settle it directly than have your access withdrawn.

7. Limited Right to Use

Subject to this Agreement, Scryer Labs grants you a limited, nonexclusive, non-transferable, non-sublicensable licence during the term of your subscription to access and use the Service solely for your own personal use. All rights not explicitly granted are reserved to Scryer Labs.

The invite-only Strategy script we grant you access to is licensed to you for use on your own TradingView account. You shall not redistribute, resell, republish, share the source of, reverse engineer, decompile, modify, or create derivative works from that Strategy script, use it on TradingView accounts that are not yours, or use any part of the Service to develop a competing product or service.

8. Strategy Delivery and Technology

Strategies are delivered via TradingView's invite-only script mechanism. Scryer Labs does not guarantee uninterrupted or error-free access to Strategies. Strategy access depends on technology systems and third-party infrastructure, including TradingView's platform availability.

9. Third-Party Services and Products

Scryer Labs does not provide or make any representation, warranty, or guarantee as to the quality, accuracy, or fitness of any third-party products or services, including TradingView, Third-Party Automation Providers, and brokerages.

10. Proprietary Rights

You retain exclusive ownership of all User Data. Scryer Labs retains exclusive ownership of the Service, the Documentation, and the strategy logic, algorithms and script code of its invite-only Strategies, together with related intellectual property. That ownership does not extend to the publicly published Pine libraries a Strategy imports, which are governed by their own published licence terms.

Scryer Labs' total aggregate liability for all claims shall not exceed the total subscription fees paid by you during the three (3) months immediately preceding the event giving rise to the liability.

13. Indemnification

You shall defend, indemnify, and hold harmless Scryer Labs from any Losses arising from your use of or reliance on the Service, your trading activities, your violation of this Agreement or any applicable law, your use of any Third-Party Automation Provider, and your configuration of automation settings.

14. Confidentiality

The Service, its algorithms, the strategy logic and script code of its invite-only Strategies, and the Documentation are Confidential Information of Scryer Labs. Each party shall maintain Confidential Information under reasonably secure conditions and shall not disclose it to third parties without prior written consent.

Information that is already public does not become confidential by being referenced here. In particular, the published Pine libraries a Strategy imports are public on TradingView and are not Confidential Information.

15. Privacy

You acknowledge and agree that you have read and understood Scryer Labs' Privacy Policy and consent to the processing, use, and disclosure of personal information as set forth therein.

16. Dispute Resolution and Arbitration

16.1 Informal Resolution

Both parties agree to first attempt to resolve any Dispute through informal negotiation by contacting the other party in writing.

16.2 Binding Arbitration

If the Dispute cannot be resolved informally within 30 days, it shall be finally resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association.

16.3 Opt-Out

You may opt out of this arbitration agreement by contacting Scryer Labs within 30 days of first accepting these Terms.

16.4 Class Action Waiver

Any arbitration shall be limited to the Dispute between the parties individually. There is no right for any Dispute to be arbitrated on a class-action basis or in a representative capacity.

16.5 Time Limitation

No Dispute shall be commenced more than two (2) years after the cause of action arose.

17. General Provisions

This Agreement shall be governed by and construed in accordance with the laws of the State of North Carolina and applicable United States federal law, without regard to its conflict of law principles. This Agreement, together with the Privacy Policy and the Disclosures, constitutes the entire agreement between the parties. Scryer Labs reserves the right to modify these Terms at any time with notice. If any provision is held invalid, the remaining provisions continue in full force. Neither party shall be liable for failure or delay resulting from causes beyond reasonable control.
